Terms and Conditions

1. Scope

  1. These terms and conditions apply to the provision of services by Law Image to it’s clients.
  2. Should one or several of the following terms become invalid, it is intended that the remainder shall continue to be in force.
  3. Where a Contract for Services is executed between Law Image and it’s customer, these terms and conditions are intended to form part of that agreement unless otherwise stated.
  4. In the event of any conflict between any Contract for Services and these terms and conditions, the Contract shall prevail.

2. Definitions

2.1. In these terms:

  1. "Provision of Services" means the provision of services, to the extent agreed in these conditions, by Law Image for the Client. Provision of services includes all ancillary work required in the completion of services, including but not limited to job requisition, infrastructure set-up and invoicing.
  2. "Client" means the agreed company, firm or other entity for whom the services are to be provided under these terms and conditions.
  3. "Parties" means either Law Image or the Client.
  4. "Third Party" means any organisation or person that is outside the scope of these terms and conditions.
  5. "Documents" means all documents, material and other property exchanged between the parties during the provision of services. The term "documents" is not limited to physical papers.
  6. "Incident" means any action, event or failure that results in the provision of services being affected.

3. Time

  1. These terms and conditions apply for the duration of the services performed by Law Image unless otherwise stated in these terms and conditions, or as agreed by the parties.
  2. These terms and conditions will not survive termination of services unless otherwise stated.

4. Security

  1. All documents and other property will be held in a secure storage device unless required in the provision of services
  2. Law Image will not give access to Client property to a third party unless required by state or federal law.
  3. All documents and property in transit will be accompanied securely at all times by an authorised Law Image employee unless otherwise organised by the Client.
  4. Law Image employees will not conduct any other business whilst in transit between Law Image and the Client.
  5. The time of pickup and delivery will be recorded at the beginning and end of any period of transit, and these records will be available to the Client.

5. Confidentiality

  1. Law Image, and its employees, shall treat as confidential, all information which comes into possession pursuant to or as a result of the Services except information that is or becomes available to the public or is provided to Law Image from a third party legally entitled to posses and disclose the information to.
  2. In the event that Law Image will contravene a law in force in Australia by not disclosing Client information, Law Image will disclose required information despite any existing duty of confidentiality.
  3. Law Image will disclose confidential information only to the extent required by the laws of Australia.
  4. Any duty of confidentiality survives the completion of services unless otherwise stated.

6. Warranties

  1. The company warrants that the services will be provided using reasonable skill and care, and in accordance with any agreed process or workflow.
  2. The Client undertakes to notify Law Image immediately of any work not completed to their expected standard.
  3. The Client undertakes to provide all necessary information, documentation and instructions to ensure that the services are provided to the required level of quality.

7. Force Majeure Incidents

  1. Law Image will not be held liable for any loss or damage that occurs for reasons beyond the reasonable control of Law Image.
  2. Law Image will notify the Client at the earliest reasonable time of any such event occurring.
  3. Each party must exercise all reasonable efforts in mitigating the delay or failure to services as the result of a force majeure incident.

8. Payment

  1. All fees or disbursements required to complete the job will be provided to Law Image prior to commencement of each service.
  2. In the event that Law Image has not been provided the required fees or disbursements prior to work commencing, Law Image will not engage in the provision of that service unless otherwise arranged with the Client.
  3. All invoices are to be paid within fourteen days of the date of issue.
  4. The Client will notify Law Image immediately of any intention not to pay all or part of any invoice.

9. Indemnity

9.1. Law Image indemnifies the Client against all claims, liabilities, costs or losses that directly result from the provision of services where Law Image or it’s employees:

  1. has acted in bad faith;
  2. has acted negligently; or
  3. has failed to comply with these terms and conditions

10. Cancellation of Services

  1. The Client can cancel any requested services at any time before Law Image has begun providing the services
  2. Cancellation before services have begun being provided can be via email, telephone, or through online job portal.
  3. The client can cancel any requested services any time after Law Image has begun providing the services by telephone only.

In the event that the Client has cancelled the services after work has begun, the Client will be billed for any services provided prior to that cancellation.

Law Image will not be responsible for any mistakes or miscalculations made by the client in the procurement of services.

11. Assurances by Clients

11.1. The Client assures that:

  1. The provision of services will not be used to contravene a law in force in Australia
  2. The provision of services will not be used for any improper or unethical purpose
  3. They will assist Law Image in providing the Services in as efficient and cost effective manner as possible
  4. They will not cause Law Image to incur unreasonable expense in the provision of services
